Euro Manganese Inc.is a Canadian Company dual listed on the TSX-V (the TSX Venture Exchange) and the ASX (the Australian Securities Exchange).   

 

Euro Manganese Inc. trades and settles ‘Shares’ in Canada and trades and settles ‘CHESS Depositary Interests’ in Australia.

 

CHESS Depositary Interests (‘CDIs’) are an instrument created in Australia to facilitate the electronic settlement of shares of a foreign company listed on the ASX.
 

Share to CDI Issuance (Canadian Share Register to Australian CDI Register) 

 

A. Canadian Depository for Securities (‘CDS’) Participants 

 

The CDS participant initiates a CDS Stock Withdrawal for the number of shares they wish to convert into CDIs. At the same time, the CDS Participant completes the required Canada to Australia online xSettle request form (or paper CDI Issuance form) indicating:

  • The full name, description and CUSIP of the security;

  • The number of shares to be converted;

  • Submitting participant’s firm name;

  • The CDS Withdrawal Reference ID (this reference number is automatically generated from CDSx once the participant keys the withdrawal);

  • The name and address to be entered on the CDI register.  If the shares are to be entered into CHESS, the instruction also includes the CHESS participant name, the CHESS PID and HIN as well as the CHESS Participant’s contact details.

 

The CDS Participant withdraws the shares into the name of the CHESS participant, or other holder as appropriate.

 

Once the CDS withdrawal has been initiated by the CDS participant and the xSettle or paper request form has been received by Computershare, Euro Manganese Inc.’s transfer agent, Computershare will debit the CDS account from the Canadian register and will issue the CDIs onto the Australian register. 

 

The CDS participant is charged the cross border fees through the CDS system.*

B. Certificated/DRS holders

 

A certificated/DRS holder submits a completed paper Canada to Australia CDI request form and their share certificate(s) (if applicable) to Computershare Canada. The Share to CDI Conversion form (Register Removal Request - Canada to Australia CDIs) can be found using the link below:

Once Computershare is in receipt of the completed form and share certificate (if applicable), Computershare will debit the shareholder’s account from the Canadian register and will issue the CDIs onto the Australia register. 

 

There is no charge for these transactions. 

 

CDI Cancellations to Share Conversions (Australian CDI Register to Canadian Share Register) 

 

A. CHESS Participants

 

The CHESS participant completes the online xSettle request form (or paper CDI Cancellation form). 

The CHESS participant delivers the CDIs to Computershare Clearing Pty Limited via CHESS 005 demand transfer. 

 

Once Computershare is in receipt of both the CDIs and the CDI Cancellation request form, Computershare will cancel the CDIs from the Australian register and will credit the shares to the Canadian share register.  

 

If there is an indication on the transaction that the request is for a Canadian CDS participant, the CDS Deposit Reference Number (this is an electronic number that is generated, once the CDS participant initiates a CDS deposit) should be indicated on the form.   

 

The CDS participant is charged the cross border fees through the CDS system.*

 

If the transaction indicates a certificate/DRS to be issued, Computershare will credit the shareholder registered name and address as indicated on the form. 

 

No fee is charged if the request is to a certificated/DRS holder.

 

B. Issuer Sponsored Holders/Registered Holders

 

A registered holder submits a completed paper Australia to Canada CDI cancellation form to Computershare Australia.   The CDI to Share conversion form can be found on the Computershare Australia internet site here, or by clicking below.  

 

CDI Cancellation AU-Canadian Register Form

Once Computershare is in receipt of the completed form, Computershare will debit the holder’s CDI account from the Australian register and will issue the shares onto the Canadian register. 

 

If there is an indication on the transaction that the request is for a Canadian CDS participant, the CDS Deposit Reference Number (this is an electronic number that is generated, once the CDS participant initiates a CDS deposit) should be indicated on the form.   

 

The CDS participant is charged the cross-border fees through the CDS system*

 

If the transaction indicates a certificate/DRS to be issued, Computershare will credit the shareholder registered name and address as indicated on the form. 

 

No fee is charged if the request is to a certificated/DRS holder.
